In Germany, corporate/company law regulates internal and external companies (e.g. civil partnership, partnership, OHG, KG and Heritage) corporations, limited companies and cooperatives. These cover all other forms of companies under the provisions of Civil Law (§§ 705ff. BGB) unless a special law (HGB, GmbHG, Companies Act) provides otherwise. Many issues arise regarding the framework of founding (articles of association, capital requirements, financing, and permissions) and consulting (meetings and resolutions) as well as acquisitions and sales (including due diligence and valuations) or controversy among partners.
Besides the organisations covered under corporate/company law, foundations and institutions are taken on, in the frame of increased wealth, or for the promotion or pursuit of defined goals. We have extensive experience with the establishment and administration of foundations.
